Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding contractual agreement between you (“Client”, “you”) and Khidami Creative Studio (“Khidami”, “we”, “us”).

By ordering any service package, approving a customized creative proposal, paying an invoice deposit, or using khidami.com, you acknowledge and agree to be bound by these Terms in their entirety. If you represent an organization or enterprise, you warrant that you possess full legal authority to bind that entity.

2. Scope of Creative Services

Khidami provides full-service digital creative agency solutions across seven specialized verticals:

• Social Media Packages: Comprehensive 30-day brand management, planned content calendars, custom branded graphic posts, Reels & TikTok video shorts, captions, and hashtag growth strategies.
• Website Development: Custom responsive web design, high-converting landing pages, UI/UX prototyping, performance optimization, and mobile-first frontend engineering.
• Brand Identity Systems: Primary and secondary logo suites, typography systems, comprehensive brand guidelines, color palettes, and stationery assets.
• Video & Motion Design: Promotional video production, 3D product animations, cinematic motion graphics, and dynamic social media advertisements.
• Post & Feed Design: High-impact social media creatives, multi-slide educational carousels, and cohesive feed curation.
• Ad Creatives: Conversion-engineered visual and video creatives optimized for Meta (Facebook/Instagram), TikTok, and Google Display networks.
• Voice Over Production: Broadcast-grade studio recordings, commercial narration, podcast intros, audio cleanup, and sound mastering in Moroccan Darija, Arabic (Fusha), French, and English.

3. Project Proposals, Briefs & Scope Adjustments

Every creative project begins with an explicit project brief or plan selection. Turnaround schedules, file deliverables, and revision allowances are strictly defined in your selected package or written estimate.

Any requests for supplementary deliverables, alternate design directions beyond the approved brief, or additional rounds of feedback will be quoted transparently as an add-on prior to commencement.

4. Pricing, Payments & Currency

All fees listed on our website or detailed in commercial proposals are denominated in Moroccan Dirhams (DHS) unless otherwise agreed in writing.

• Standard Packages: Monthly retainers and fixed packages are payable upfront prior to the initiation of creative design or production calendars.
• Bespoke Projects: Custom contracts require a 50% initiation deposit upon contract signing, with the remaining 50% balance payable upon final presentation prior to final production source delivery.
• Payment Methods: We accept verified bank wire transfers, authorized electronic merchant gateways, and international payment arrangements.

5. Revisions, Feedback & Approvals

Creative excellence is an iterative partnership. Every plan includes dedicated revision rounds:

• Included Revisions: Adjustments to colors, typography balance, spatial layout, animation timing, or graphic refinements within the original brief scope.
• Feedback Cadence: To maintain project momentum, the Client agrees to provide consolidated, constructive feedback within five (5) business days of receiving draft concepts.
• Final Approval: Formal approval of deliverables marks completion. Subsequent modifications will be billed under our standard hourly or add-on rate card.

6. Intellectual Property & Commercial Rights

We guarantee clean, unencumbered client ownership:

• Transfer of Final Deliverables: Upon receipt of full and final payment, complete commercial copyright and intellectual property rights in approved final assets (e.g. logos, web code, rendered videos, mastered voiceovers) transfer wholly to the Client.
• Preliminary Drafts & Unused Concepts: Unapproved initial drafts, rejected design concepts, and proprietary studio templates remain the property of Khidami.
• Portfolio Showcase: Unless an explicit Non-Disclosure Agreement (NDA) is executed, Khidami retains the customary right to display completed public works within our portfolio, case studies, and reels.

7. Client Responsibilities & Materials

The Client warrants that all trademarks, photography, product imagery, scripts, and audio provided to Khidami are owned by the Client or licensed with appropriate commercial distribution permissions. The Client agrees to indemnify Khidami against any third-party claims arising from client-provided materials.

8. Cancellation & Refund Terms

Because bespoke agency work requires immediate reservation of specialized design and animation talent:

• Commenced Milestones: Initial deposits and payments for commenced milestones are non-refundable, as they directly compensate for strategy, concept creation, and calendar allocation.
• Client Cancellation: If a project is cancelled by the Client prior to final completion, the Client is invoiced only for verified work completed, and any unused upfront funds are refunded pro-rata.
• Agency Termination: If Khidami cannot complete a project due to exceptional circumstances, all client assets and an equitable pro-rata refund for unfinished scope will be returned promptly.

9. Limitation of Liability & Governing Law

While Khidami applies elite design and marketing methodologies, digital performance depends on market dynamics beyond agency control (such as ad budgets and competitive market fit). Khidami does not guarantee specific commercial sales numbers or revenue quotas.

Khidami’s aggregate financial liability in any claim shall not exceed the actual fees paid by the Client for the specific deliverable in dispute.

These Terms are governed by and construed under the laws of the Kingdom of Morocco. Parties agree to seek amicable resolution in good faith prior to initiating any formal legal dispute.
